This Independent Contractor Agreement (“Agreement”) is made and entered into as of the [DATE] day of [MONTH], 2024 (the “Effective Date”), by and between Students Who Sit, Inc., a Connecticut corporation , or any of its subsidiaries, affiliates, divisions, successors or assigns (collectively, the “Company”), and the undersigned service provider (the “Service Provider”).
1. Services

Service Provider shall, as an independent contractor, perform certain childcare services (the “Services”) for customers of the Company (“Company Customers”).
Services will be performed on an hourly basis in a competent, professional manner, and in accordance with generally accepted industry standards.
2. Fees
- The Company shall collect payment from Company Customers.
- The Company will remit 80% of the amount collected to the Service Provider.
- Tips. Tips paid through the platform will be passed through 100% to the Service Provider in the next payout cycle.
- The Provider will SET THEIR OWN RATE for their services.
3. Responsibilities of Service Provider / Sensitive Information
- Use best efforts to provide Services in accordance with this Agreement.
- Keep the Company advised of service status.
- Permit Company representatives to review or observe Services.
- Service Providers shall safeguard family and child information, use reasonable device security (passcodes; no public sharing), and only retain data as necessary for the sit. No posting of identifiable child/family content online.
4. Term & Termination
- Either party may terminate with 15 days’ written notice.
- Immediate termination is permitted in the event of a material breach.
- Cancellations/No-Shows (ICA)
- Sitter Cancellations. Non-emergency cancellations within 24 hours of start time or no-shows may result in (i) suspension, (ii) termination for repeated violations, and/or (iii) deduction of a late-cancel fee of $[X] from future payouts (where permitted by law).
